5. FEES AND PAYMENT
5.1 Consultation Fee

5.3 Invoice Terms

5.4 Expenses

6. CLIENT RESPONSIBILITIES
6.1 Access and Materials

7. POST-DELIVERY SUPPORT

- Answers to questions about the report
- Guidance on prioritization
- Assistance understanding findings
7.2 Support Excludes
Follow-up support does not include:
- Implementation of recommendations

- Ongoing consultation
- New questions outside the original scope
7.3 Implementation Services
If Client wishes to proceed with implementing recommendations, Consultant can provide:
- Implementation project proposal
- Ongoing retainer support
- Hourly consultation
These services require a separate agreement and are subject to Consultant's availability.
8. INTELLECTUAL PROPERTY
8.1 Ownership of Deliverables
Upon receipt of full payment, all intellectual property rights in the deliverables (audit report, analysis, recommendations) transfer to Client.
8.2 Pre-Existing Materials
Consultant retains rights to:
- Methodologies, frameworks, and processes
- Templates and tools
- General knowledge and experience
- Work created for other clients
8.3 Client Data
Client retains all ownership of data and information provided to Consultant. Consultant may not use Client data for purposes other than this consultation without explicit permission.
8.4 Anonymized Case Studies
Consultant may use anonymized, de-identified findings from this consultation in research, training materials, or aggregate industry benchmarking, provided no information identifies Client.
9. CONFIDENTIALITY
9.1 Confidential Information
Both parties agree to maintain confidentiality of proprietary information exchanged during this engagement, including:
- Business strategies and financial information
- Customer and performance data
- Technical information
- Strategic plans
- Audit findings (before public disclosure by Client)
9.2 Exclusions
Confidential information excludes information that:
- Is or becomes publicly available through no breach
- Was known prior to disclosure
- Is independently developed
- Is required to be disclosed by law (with prompt notice)
9.3 Duration
Confidentiality obligations survive termination for two (2) years.
10. WARRANTIES AND DISCLAIMERS
10.1 Consultant Warranties
Consultant warrants that:
a) Services will be performed professionally consistent with industry standards
b) Consultant has authority and expertise to perform services
c) Recommendations based on industry best practices and Consultant's experience
d) Consultant maintains professional indemnity insurance
10.2 Limitations
Consultant's findings and recommendations are based on:
- Information provided by Client
- Data available during the consultation period
- Industry standards and best practices as of the consultation date
Consultant is not responsible for:
- Accuracy of Client-provided information
- Changes in circumstances after consultation
- Client's implementation decisions
- Third-party actions or recommendations
10.3 Disclaimer of Warranties
EXCEPT AS EXPRESSLY PROVIDED, SERVICES ARE PROVIDED "AS IS" WITHOUT WARRANTY OF ANY KIND. CONSULTANT DISCLAIMS ALL IMPLIED WARRANTIES INCLUDING MERCHANTABILITY AND FITNESS FOR PARTICULAR PURPOSE.
10.4 No Guarantee of Results
Consultant does not guarantee specific business outcomes, revenue improvements, cost savings, or other results from implementing recommendations. Results depend on implementation quality, timing, market conditions, and factors beyond Consultant's control.
11. LIMITATION OF LIABILITY
11.1 Cap on Liability
IN NO EVENT SHALL EITHER PARTY'S TOTAL AGGREGATE LIABILITY EXCEED THE TOTAL CONSULTATION FEE PAID BY CLIENT.
11.2 Exclusion of Damages
IN NO EVENT SHALL EITHER PARTY BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOST PROFITS, LOST REVENUE, OR LOST BUSINESS OPPORTUNITY.
11.3 Exceptions
Limitations do not apply to:
- Breach of confidentiality obligations
- Gross negligence or willful misconduct
- Amounts owed for fees and expenses
11.4 Client's Reliance
Client acknowledges that:
- Recommendations are advisory only
- Client makes final implementation decisions
- Client is responsible for implementation outcomes
- Professional judgment required when applying recommendations
12. TERMINATION
12.1 Termination by Either Party
Either party may terminate with written notice:
Before work begins:
- Client receives full refund of deposit
- No work product delivered
After work begins:
- Client pays for work completed to date (pro-rata)
- Client receives all work completed and in progress
- No refund of payments for completed work
12.2 Termination for Cause
Either party may terminate immediately if the other party:
a) Materially breaches and fails to cure within seven (7) days
b) Becomes insolvent or files for bankruptcy
c) Provides false or misleading information
12.3 Survival
Sections 8 (IP), 9 (Confidentiality), 10 (Warranties), 11 (Limitation of Liability), and 14 (General Provisions) survive termination.
13. FORCE MAJEURE
Neither party liable for failure to perform due to circumstances beyond reasonable control. If force majeure continues more than fourteen (14) days, either party may terminate without penalty.
14. GENERAL PROVISIONS
14.1 Governing Law and Jurisdiction
This Agreement is governed by the laws of New South Wales, Australia. Both parties submit to the exclusive jurisdiction of NSW courts.
14.2 Entire Agreement
This Agreement constitutes the entire agreement and supersedes all prior negotiations.
14.3 Amendment
This Agreement may only be amended by written agreement signed by both parties.
14.4 Independent Contractor
Consultant is an independent contractor, not an employee. Consultant is responsible for own taxes, insurance, and business expenses.
14.5 Assignment
Neither party may assign without prior written consent.
14.6 Notices
All notices in writing to:

14.7 Severability
If any provision is found invalid, remaining provisions remain in full force.
14.8 Counterparts
This Agreement may be executed in counterparts. Electronic signatures have the same effect as originals.
15. ACCEPTANCE
By signing below, both parties agree to be bound by the terms of this Consultation Agreement.
